PTC (Needham, MA) announced today that it has signed a definitiveagreement to acquire Mathsoft Engineering and Education, the maker ofthe Mathcad engineering calculation tool for $63.25 million incash. According to the press statement, the acquisition is expected toclose in early May, assuming regulatory approval and other customaryclosing conditions are satisfactorily resolved.

With this acquisition, PTC says, it will expand its MCAD/CAM/CAE solutions withpredictive engineering capabilities that will help users deliveroptimized products sooner with higher quality and improved knowledgecapture.

“Mathsoft will be an important addition to PTC, as it will expand bothour product offering and our addressable market,” said C. RichardHarrison, president and chief executive officer of PTC in a statementissued with the announcement.

According to the press statement, once the acquisition closes, userswill to be able to leverage Mathcad as a stand-alone solution or as anintegrated part of PTC’s Product Development System. Calculationsauthored and documented in Mathcad can predict critical parameters thatwill drive Pro/Engineer designs, and Pro/Engineer parameters can be fedinto Mathcad to perform supplementary engineering calculations. Theintegration extends through Pro/Engineer Mechanica, and XML-baseddocuments from Mathcad can be managed, cross-referenced, configurationcontrolled and reused in PTC’s Windchill as well as assembled andpublished with Arbortext.

Mathsoft has 130 employees in sevencountries including the United States, United Kingdom, Germany andJapan. The transaction has been approved by the requisite vote ofMathsoft shareholders.
